PLABEL VCL STD Software License Agreement
This Software License Agreement ("Agreement") is made between MESURASOFT S.L.U. ("Licensor") and the person/company in whose name the license is purchased ("Licensee"). This Agreement outlines the terms and conditions under which Licensee is granted the right to use the programming components developed by Licensor for Delphi ("Software").
1. Grant of License
Licensor hereby grants Licensee a non-exclusive, non-transferable, worldwide license to use the Software in accordance with the terms of this Agreement.
2. Permitted Use
Licensee may use the Software to develop, create, and distribute applications, including commercial applications, provided that such use complies with the restrictions set forth in this Agreement.
3. Restrictions
- No Redistribution of Source Code: Licensee may not redistribute, disclose, or share the source code of the Software in any form, whether modified or unmodified, except as specifically authorized by Licensor.
- No Sublicensing: Licensee may not sublicense, rent, lease, or otherwise transfer the Software or the rights granted under this Agreement to any third party.
- No Reverse Engineering: Licensee shall not decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Software.
- Prohibited Use for Exclusive Label Editor Development: The Software may not be used exclusively to develop a label editor as a standalone application. Licensee may incorporate a label editor as a feature within a broader software application, such as an ERP system, management software, or inventory program. However, the primary function of the developed application must not be the label editor itself..
4. Ownership
The Software and all intellectual property rights therein are and shall remain the exclusive property of Licensor. Licensee acknowledges that this Agreement does not transfer any ownership rights in the Software to Licensee.
5. Modifications
Licensee may modify the Software solely for internal use and within the scope of the permitted use described above. Any modifications made by Licensee shall not infringe upon the intellectual property rights of Licensor.
6. Support and Updates
Licensor may, at its discretion, provide updates, patches, and technical support for the Software. Any updates provided shall be subject to the terms of this Agreement.
7. Limitation of Liability
Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or performance of the Software, even if Licensor has been advised of the possibility of such damages.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles.
9. Entire Agreement
This Agreement constitutes the entire agreement between Licensor and Licensee regarding the use of the Software and supersedes all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
